Terms and Conditions

These general terms and conditions apply to all services of Sera Adviesgroep, a law firm based in Amsterdam. By instructing us, you agree to these terms.

1. Applicability

These terms apply to every quotation, instruction and agreement between Sera Adviesgroep and its clients, unless agreed otherwise in writing. General terms and conditions of the client are expressly rejected.

2. Formation of the assignment

An assignment is formed as soon as you have accepted our request to that effect, for example by email or via the contact form, and we have confirmed the assignment in writing. Introductory meetings are non-binding and do not yet create an assignment.

3. Performance of the assignment

We perform every assignment to the best of our knowledge and ability and strive for the best possible result. Our services constitute a best-efforts obligation, not an obligation of result: we can never guarantee the outcome of legal proceedings or negotiations.

4. Fees and costs

Prior to the assignment, you will receive a clear quotation. Unless agreed otherwise, we work on the basis of an hourly rate, excluding VAT and excluding any third-party costs, such as court fees or bailiff charges. Additional work will only be charged after your approval.

5. Payment

Invoices must be paid within fourteen days of the invoice date. In the event of late payment, you are in default without further notice of default, and statutory interest and reasonable collection costs will be due. We may suspend our work for as long as previous invoices remain unpaid.

6. Liability

Our liability is limited to the amount paid out in the relevant case, or to the amount of the fee charged for the assignment, up to a maximum of ten thousand euros. Liability for indirect damage, such as consequential loss or lost profits, is excluded.

7. Confidentiality

We treat all information you share with us in the context of the assignment as strictly confidential and will not disclose it to third parties without your consent, unless necessary for the performance of the assignment or we are legally obliged to do so.

8. Complaints

If you have a complaint about our services, please report it as soon as possible via info@seraadviesgroep.nl, so that we can work with you towards a solution.

9. Applicable law

All agreements with Sera Adviesgroep are governed by Dutch law. Disputes will be submitted exclusively to the competent court in Amsterdam.
